1. About these Terms
These Terms and Conditions govern the registration, membership, account access, profile creation and use of YachtCraft Index by companies and other professional organisations.
YachtCraft Index is operated by:

In these Terms, CraftIndex OÜ may be referred to as “CraftIndex,” “YachtCraft Index,” “we,” “us,” or “our.”
The company or professional organisation registering for or using the service may be referred to as the “Company,” “Customer,” “Applicant,” “Member,” “you,” or “your.”
These Terms apply to companies applying to be listed in YachtCraft Index and to persons accessing an account on behalf of those companies.
Builder Users accessing the index for professional sourcing purposes are subject to separate Builder User Terms of Use.
2. Business use only
YachtCraft Index is strictly a business-to-business service.
You may use the service only if:
- you are acting on behalf of a company, sole trader, professional organisation or other business entity;
- you are using the service for commercial or professional purposes;
- you are at least 18 years old;
- you have authority to enter into an agreement on behalf of the organisation identified during registration; and
- the information you provide about yourself and the organisation is accurate.
YachtCraft Index is not intended for consumers or private household use.
By accepting these Terms, you confirm that you are not acting as a consumer.
We may request evidence of your identity, professional role, authority, company registration or business activity.
If you register without authority, you may be personally responsible for obligations resulting from your actions, to the extent permitted by law.
3. Acceptance of these Terms
You accept these Terms when you:
- select the acceptance checkbox during registration, payment or account activation;
- submit an application referring to these Terms;
- pay for a YachtCraft Index membership or additional service; or
- continue using the service after being required to accept an updated version.
The acceptance checkbox will not be pre-selected.
You must have an opportunity to access and review the Terms before accepting them.
We may retain an electronic record of acceptance, including:
- the account and organisation identification;
- the email address used;
- the wording of the acceptance statement;
- the accepted document names and version numbers;
- the acceptance date and time;
- the IP address;
- browser or device information;
- the acceptance method; and
- a unique acceptance-event identifier.
Electronic acceptance has the same contractual effect as signing a written agreement, to the extent permitted by applicable law.
4. Documents forming the agreement
The agreement between you and CraftIndex OÜ may include:
- these Terms and Conditions;
- the Membership and Payment Conditions;
- the Refund and Cancellation Policy;
- the Privacy Policy;
- the Cookie Policy;
- any service-specific conditions displayed during checkout;
- any accepted order summary; and
- any additional written agreement signed by CraftIndex OÜ and the Company.
If these documents conflict, the following order applies:
- a separately signed written agreement;
- service-specific conditions or the accepted checkout summary;
- the Membership and Payment Conditions;
- these Terms and Conditions;
- the Refund and Cancellation Policy; and
- the remaining policies.
The Privacy Policy explains how personal data is processed and does not reduce any rights provided by applicable data-protection law.
5. Nature of YachtCraft Index
YachtCraft Index is a professional, capability-based visibility and sourcing platform.
The service allows approved companies to present their capabilities in a structured private index accessible to authorised professional Builder Users.
YachtCraft Index is not:
- a broker;
- a commercial agent;
- an employment agency;
- a procurement agent;
- a marketplace handling transactions;
- a party to contracts between users;
- a payment intermediary for yacht projects;
- a certification authority;
- an insurer;
- a guarantor of company performance; or
- a provider of legal, financial, technical or engineering advice.
CraftIndex OÜ does not participate in or control negotiations, quotations, contracts, project execution or payments between listed companies and Builder Users.
All commercial relationships are established directly between the relevant parties.
CraftIndex OÜ does not charge or deduct commissions from contracts, orders or projects concluded between users.
6. No guarantee of commercial results
Membership provides account access, profile review, approved visibility and use of the relevant platform functions.
Membership does not guarantee:
- enquiries;
- leads;
- invitations to quote;
- yacht projects;
- contracts;
- sales;
- revenue;
- profits;
- a particular level of profile views;
- a particular search position;
- contact from any specific Builder User; or
- any other commercial outcome.
The number and quality of opportunities may depend on market demand, Builder User activity, the Company’s capabilities, profile quality, location, delivery area, industry category and other factors outside CraftIndex OÜ’s control.
The absence of enquiries or commercial results does not constitute a failure to provide the membership service and does not create a right to a refund.
7. Registration and application
To register, the Company must provide the information requested in the registration process.
This may include:
- company name;
- company registration or tax identification details;
- country;
- business address;
- contact name;
- email address;
- primary business category;
- billing information; and
- other information reasonably necessary to establish the account.
You must ensure that all registration information is complete and accurate.
Providing false, misleading or unauthorised information may result in rejection, suspension or termination.
Registration and payment do not automatically make the Company an approved or published member.
8. Payment, account activation and approval
The YachtCraft Index process has separate stages.
8.1 Payment and account activation
After registration and successful payment:
- the Company’s account is activated;
- the Company receives access to its private profile setup area;
- the Company may begin completing its profile; and
- the Company may upload information and content for review.
Payment provides access to the onboarding and review process.
8.2 Profile completion
The Company must complete the applicable profile form and provide information reasonably required for review.
The information may include:
- company details;
- contact details;
- year established;
- company size;
- products and capabilities;
- materials and systems;
- production methods;
- project scope;
- delivery or project area;
- photographs;
- videos;
- certificates;
- supporting information; and
- other relevant details.
8.3 Review and approval
CraftIndex OÜ reviews submitted profiles before publication.
We may:
- approve the profile;
- request corrections or further information;
- request removal or replacement of content;
- assign or change categories and tags;
- reject the application; or
- determine that the Company is not suitable for the index.
A Company becomes visible in YachtCraft Index only after its profile has been completed and approved.
Official membership status is connected to approval and publication, not payment alone.
9. Eligibility and profile standards
YachtCraft Index is intended primarily for companies and specialists that produce or supply products, components, materials, systems or custom creative work potentially relevant to yacht projects.
The platform is not intended primarily for:
- general labour-only services;
- installation-only contractors with no relevant product or specialist output;
- generic resellers with no meaningful specialist capability;
- businesses unable to provide credible information about their work;
- unlawful or deceptive businesses;
- businesses whose participation may create unacceptable legal, security or reputational risks; or
- businesses that do not fit the professional purpose of the index.
CraftIndex OÜ may establish and update profile-quality and eligibility criteria.
Approval decisions may consider:
- relevance;
- capability;
- clarity;
- evidence of work;
- profile completeness;
- content quality;
- professional presentation;
- legal compliance;
- Builder User value; and
- the overall quality and credibility of the index.
Approval is discretionary but will not be exercised in a manner prohibited by applicable law.
10. Rejection before publication
If CraftIndex OÜ determines that a Company is not eligible and the Company’s profile has never been published, the Company will receive a full refund of the initial membership fee.
A refund is not required where approval cannot be completed because the Company:
- fails to submit the requested profile information;
- abandons the onboarding process;
- repeatedly fails to respond to reasonable requests;
- supplies false, misleading or unlawful information;
- submits content without the necessary rights;
- breaches these Terms;
- creates a security, sanctions or legal risk; or
- prevents CraftIndex OÜ from completing the review.
Where a paid additional service has not been activated or delivered because the Company is rejected, the amount paid for that service will also be refunded.
11. Membership price and currency
The standard membership price is:
- €29 per month, billed annually at €348, or
- US$32 per month, billed annually at US$384.
The full annual amount is paid in advance.
The applicable currency and amount are displayed before payment.
The currency selected or applied at the initial checkout will normally remain the subscription currency for future renewals unless otherwise agreed or changed through an available account function.
CraftIndex OÜ is not currently registered for VAT and does not currently add Estonian VAT to these prices.
If CraftIndex OÜ becomes legally required to collect VAT or another tax, the applicable tax may be added or handled as required by law.
The Customer is responsible for:
- taxes and reporting obligations applicable to its own business;
- reverse-charge obligations where applicable;
- withholding taxes imposed in its jurisdiction;
- payment-card charges;
- bank charges; and
- currency-conversion costs charged by its bank, card provider or payment provider.
12. Payment processing
Payments are processed through Stripe.
CraftIndex OÜ does not normally receive or store complete payment-card details.
By submitting payment information, you authorise Stripe and CraftIndex OÜ to charge the applicable amounts, including automatic renewal charges.
Payment is considered completed only after the payment provider confirms successful payment.
CraftIndex OÜ may rely on payment status information received from Stripe.
Payment-provider terms and privacy practices may also apply to the payment transaction.
13. Automatic renewal
Membership automatically renews for successive annual periods unless cancelled before the renewal payment is processed.
The renewal amount will be charged to the payment method associated with the subscription.
CraftIndex OÜ will send a renewal reminder at least 30 calendar days before the scheduled renewal date.
The reminder may include:
- the renewal date;
- the renewal price;
- the renewal currency;
- information about any price change; and
- instructions for cancellation or payment-method updates.
You are responsible for keeping your contact and payment information current.
Failure to read a properly sent renewal reminder does not by itself invalidate the renewal.
14. Cancellation
You may cancel the automatic renewal at any time before the renewal payment is processed.
Cancellation may be completed:
- through an available subscription or billing portal; or
- by sending a cancellation request to office@yachtcraftindex.com.
An email cancellation request must be received before the renewal payment is processed.
Cancellation does not immediately terminate the current paid membership period.
After cancellation:
- the membership remains active until the end of the paid annual term;
- the profile may remain visible until that date;
- the Company may continue using the available membership features; and
- no further annual renewal will be charged.
Cancellation does not create a right to a prorated refund for the remaining part of the current annual term.
15. Failed renewal payments
If an automatic renewal payment fails:
- the Customer will be notified;
- the Customer may be asked to update its payment method;
- Stripe may retry the payment;
- a seven-calendar-day grace period will apply; and
- the membership and profile may remain active during the grace period.
If payment remains unsuccessful after the seven-day grace period:
- the membership may be suspended;
- the profile may be hidden from Builder User search results;
- paid badges and visibility features may be disabled; and
- access to some account functions may be restricted.
The Customer will then have a further 30 calendar days to settle the outstanding renewal payment.
If payment is successfully completed during that period, CraftIndex OÜ may restore the membership and profile.
If payment remains unpaid after that period, CraftIndex OÜ may terminate the subscription and account.
CraftIndex OÜ is not responsible for opportunities, contacts or visibility lost during a payment-related suspension.
16. Price changes
CraftIndex OÜ may change membership and additional-service prices.
A price change will not alter the price of a current paid annual term.
The new price will apply from the next renewal period.
CraftIndex OÜ will provide at least 30 calendar days’ advance notice before a changed price is charged.
The notice will identify, where applicable:
- the current price;
- the new price;
- the renewal date; and
- the method for cancelling the renewal.
If you do not accept the new price, you may cancel before the renewal payment is processed.
Continuing the subscription after the renewal date constitutes acceptance of the new renewal price.
17. Additional paid services
CraftIndex OÜ may offer additional services such as:
- Verified Company status;
- Spotlight Visibility;
- enhanced profile visibility;
- profile optimisation;
- category-specific visibility;
- profile review services;
- certificates;
- analytics or insights; and
- other optional services.
The price, duration, scope and renewal status of an additional service will be displayed before purchase.
An additional service may be:
- a one-time service;
- valid for a fixed period;
- linked to an active membership; or
- automatically renewable where this is clearly stated before purchase.
Purchasing an additional service does not guarantee enquiries, contracts, search placement or commercial results.
Verification, visibility or recognition labels do not constitute a general legal, technical, financial or quality certification unless expressly stated otherwise.
18. Refunds
18.1 Voluntary seven-day refund
The Company may request a full refund within seven calendar days after its initial membership payment if:
- the profile has not been published;
- no paid additional service has been delivered;
- no profile-optimisation or similar work has been completed; and
- the Company is not being suspended or rejected because of a breach.
This is a voluntary business-to-business refund policy and not a consumer withdrawal right.
18.2 Refund after rejection
A full refund will be issued where CraftIndex OÜ rejects an otherwise cooperative and compliant Company before its profile is published, subject to Section 10.
18.3 Payment errors
A refund will be provided where:
- the same payment was charged more than once;
- CraftIndex OÜ charged an incorrect amount;
- a renewal was collected after a valid and timely cancellation;
- CraftIndex OÜ permanently cannot provide a paid service that has not been delivered; or
- applicable law requires a refund.
18.4 Removal for CraftIndex operational reasons
If CraftIndex OÜ permanently removes a compliant Company for its own operational or commercial reasons, without breach by the Company, CraftIndex OÜ will refund the membership fee corresponding to the unused full months of the current paid term.
18.5 Non-refundable circumstances
Unless otherwise required by law or expressly stated in these Terms, payments are not refundable where:
- the profile has been approved and published;
- the Company does not receive enquiries or projects;
- the Company does not use the account;
- the Company voluntarily removes its published profile;
- the Company cancels during a current annual term;
- the Company fails to complete onboarding;
- the Company fails to supply requested information;
- the Company breaches these Terms;
- the account is suspended or terminated because of the Company’s conduct;
- submitted information is false or misleading;
- content infringes third-party rights;
- the Company cannot perform a project;
- the Company disagrees with search placement or categorisation; or
- the Company’s circumstances change.
18.6 Refund method
Refunds will normally:
- be returned through Stripe;
- be sent to the original payment method;
- be issued in the currency originally paid; and
- be limited to the amount actually paid to CraftIndex OÜ.
CraftIndex OÜ is not responsible for exchange-rate differences, bank charges or card-provider charges connected with a refund.
19. Company account responsibilities
The Company is responsible for all activity carried out through its account.
The Company must:
- maintain accurate account information;
- keep login credentials secure;
- restrict access to authorised representatives;
- notify CraftIndex OÜ of suspected unauthorised access;
- update contact information when it changes;
- ensure that account users act within their authority; and
- comply with these Terms and applicable law.
The Company must not share access with unrelated third parties.
CraftIndex OÜ may treat actions performed through the account as authorised by the Company unless it has been notified of unauthorised access.
20. Accuracy of profile information
The Company is responsible for the accuracy and legality of all profile information.
This includes claims concerning:
- products;
- capabilities;
- materials;
- manufacturing methods;
- production capacity;
- delivery area;
- experience;
- project history;
- yacht experience;
- standards;
- certificates;
- licences;
- insurance;
- employees;
- facilities; and
- professional qualifications.
The Company must promptly update information that becomes inaccurate, incomplete or outdated.
CraftIndex OÜ may request evidence supporting a claim.
CraftIndex OÜ is not required to independently verify every statement or document supplied by a Company.
21. Profile structuring and editing
CraftIndex OÜ may structure and present Company information according to the platform’s indexing system.
We may:
- assign categories;
- assign capability tags;
- create search filters;
- reorder profile sections;
- resize or format content;
- correct formatting;
- correct obvious spelling or grammar errors;
- shorten text;
- improve clarity;
- translate content;
- prepare summaries; and
- adjust technical presentation.
CraftIndex OÜ will not knowingly make a material change to factual claims about capabilities, experience, certification, production capacity or project history without seeking the Company’s approval.
The Company acknowledges that profile structure, search logic, categories and tags may evolve over time.
22. Profile visibility
Approved Company profiles are intended to be visible only to authorised Builder Users and authorised CraftIndex OÜ personnel and service providers.
Company profiles are not intended to be publicly searchable or accessible to other listed companies.
CraftIndex OÜ will use reasonable access controls to support this private-access model.
However, no internet-based system can guarantee absolute confidentiality or prevent every unauthorised screenshot, copy, disclosure or security incident.
The Company must not upload information that is unsuitable for disclosure to authorised professional Builder Users.
23. Builder Users and direct contact
Builder Users may include approved representatives of:
- yacht builders;
- shipyards;
- refit yards;
- yacht design studios;
- naval architecture firms;
- project-management firms;
- owner representatives;
- technical consultants; and
- other approved professional project participants.
CraftIndex OÜ may review Builder User applications, but does not guarantee:
- the identity of every Builder User;
- the Builder User’s authority;
- creditworthiness;
- the existence or accuracy of a stated project;
- the ability to pay;
- the seriousness of an enquiry; or
- future conduct.
Companies must conduct their own due diligence before:
- disclosing confidential information;
- preparing unpaid work or samples;
- accepting an order;
- extending credit;
- entering into a confidentiality agreement;
- beginning production; or
- entering into any commercial contract.
24. Agreements between users
Any enquiry, negotiation, quotation, contract, order, project or payment between a Company and a Builder User is independent of CraftIndex OÜ.
CraftIndex OÜ is not a party to such arrangements.
The parties are solely responsible for agreeing:
- scope;
- specifications;
- price;
- currency;
- taxes;
- delivery;
- installation;
- warranties;
- intellectual-property rights;
- confidentiality;
- insurance;
- classification requirements;
- technical standards;
- payment conditions;
- dispute resolution; and
- all other commercial terms.
CraftIndex OÜ is not responsible for:
- non-payment;
- late payment;
- project cancellation;
- defective work;
- delay;
- damage;
- incorrect specifications;
- contract disputes;
- intellectual-property disputes;
- regulatory non-compliance; or
- any other outcome of a relationship between users.
25. Uploaded content
“Content” includes any material submitted by or for the Company, including:
- text;
- descriptions;
- logos;
- trademarks;
- photographs;
- videos;
- drawings;
- certificates;
- project information;
- documents;
- contact details; and
- other profile materials.
The Company retains ownership of its Content and underlying intellectual-property rights.
Uploading Content does not transfer ownership to CraftIndex OÜ.
26. Content licence
By submitting Content, the Company grants CraftIndex OÜ a non-exclusive, worldwide, royalty-free licence to use the Content only as reasonably necessary to:
- receive and store it;
- review it;
- create and maintain the Company profile;
- display it within the private YachtCraft Index;
- make it available to authorised Builder Users;
- resize, crop, compress or reformat files;
- create thumbnails and previews;
- translate or summarise text;
- assign categories and tags;
- operate search and matching functions;
- provide certificates or account communications;
- secure, maintain and improve the service; and
- comply with legal obligations.
The licence includes the right to permit hosting, database, storage, development, email and other technical service providers to process the Content solely for these purposes.
The licence is not exclusive. The Company remains free to use and license its Content elsewhere.
CraftIndex OÜ will not use Company Content in public advertisements, public social-media posts, public landing pages or unrelated promotional materials without separate written permission.
CraftIndex OÜ will not sell Company Content as stock content.
Company Content will not be used to train a general-purpose artificial-intelligence model without separate permission.
27. Automated and AI-assisted processing
CraftIndex OÜ may use automated or AI-assisted tools to support:
- translation;
- spelling and grammar correction;
- profile summaries;
- capability classification;
- tagging;
- file optimisation;
- duplicate detection;
- content review;
- search functions; and
- profile presentation.
Automated tools do not transfer responsibility for profile accuracy from the Company to CraftIndex OÜ.
Where a material factual change is proposed, the Company may be asked to review or approve it.
28. Content warranties
The Company confirms that:
- it owns the Content or has all permissions necessary to use and license it;
- the Content does not infringe copyright, trademark, privacy, confidentiality, contractual or other third-party rights;
- persons identifiable in photographs or videos have been recorded and disclosed lawfully;
- the Content does not reveal confidential client or project information without authorisation;
- the Content accurately represents the Company and its work;
- certificates, qualifications and professional claims are authentic;
- third-party or stock content is not presented as the Company’s own work;
- AI-generated material is not misleadingly presented as a genuine completed project;
- the Content is not defamatory, deceptive, unlawful or harmful; and
- the Content does not contain malware or malicious code.
29. Confidential and sensitive project information
The Company must not upload information that it is not authorised to disclose.
This includes:
- confidential yacht information;
- yacht-owner information;
- private vessel locations;
- restricted technical plans;
- protected client details;
- information subject to a non-disclosure agreement;
- security-sensitive information;
- export-controlled information; and
- third-party trade secrets.
CraftIndex OÜ may remove or restrict any Content that creates a confidentiality, security, privacy or legal concern.
30. Content moderation and complaints
CraftIndex OÜ may reject, hide, restrict, edit or remove Content where it:
- breaches these Terms;
- appears false or misleading;
- infringes third-party rights;
- creates privacy or confidentiality concerns;
- is irrelevant;
- is technically harmful;
- does not meet profile standards;
- damages the credibility of the index; or
- creates legal, regulatory, security or reputational risk.
Where practical, CraftIndex OÜ may allow the Company to correct an ordinary profile-quality issue.
Serious legal, security or infringement concerns may result in immediate restriction without prior notice.
Copyright, trademark, privacy or other Content complaints may be sent to:
The complaint should identify:
- the complainant;
- the relevant right or protected material;
- the disputed Content;
- the reason for the complaint; and
- supporting evidence.
CraftIndex OÜ may temporarily remove disputed Content while reviewing a complaint.
31. Acceptable use
The Company must not:
- use the service unlawfully;
- provide false or misleading information;
- impersonate another person or business;
- interfere with platform operation;
- introduce malicious code;
- attempt unauthorised access;
- bypass technical restrictions;
- probe or test platform security without permission;
- scrape or automatically extract platform data;
- reverse engineer the platform except where mandatory law expressly permits it;
- copy or reproduce the YachtCraft Index database;
- use the platform to build a competing database;
- misuse Builder User information;
- send spam or unlawful marketing;
- harass another user;
- upload unlawful or infringing material;
- manipulate search or verification functions;
- misuse badges, certificates or YachtCraft branding; or
- use the service in a way that exposes CraftIndex OÜ or another user to legal or security risk.
32. Intellectual property of CraftIndex OÜ
CraftIndex OÜ and its licensors retain all rights in:
- the YachtCraft Index name and branding;
- logos and visual identity;
- software;
- website design;
- platform interface;
- profile structure;
- capability taxonomy;
- search and matching logic;
- databases;
- original guidance materials;
- certificates and certificate designs;
- editorial content; and
- other platform materials.
Membership grants only a limited, revocable, non-transferable right to use the available service during the active membership term.
No ownership rights are transferred to the Company.
The Company must not use YachtCraft Index branding in a manner that falsely suggests:
- endorsement;
- certification;
- partnership;
- guaranteed approval;
- guaranteed performance; or
- a status that is no longer active.
33. Badges, certificates and recognition
CraftIndex OÜ may issue:
- Official Member certificates;
- Verified Company certificates;
- membership milestones;
- editorial awards;
- profile recognitions; and
- other status indicators.
An Official Member certificate records that the Company’s profile was approved for membership.
A Verified Company status confirms only the verification status expressly described by CraftIndex OÜ. It does not represent a full legal, financial, technical or quality audit unless expressly stated.
Editorial awards and recognitions:
- may be selected at CraftIndex OÜ’s discretion;
- are not guaranteed;
- may not be purchased unless expressly identified as a paid status;
- do not guarantee performance;
- do not create exclusivity; and
- may be withdrawn if based on inaccurate information or if continued display would be misleading.
The Company must stop displaying an expired, suspended or withdrawn badge or certificate as current.
34. No exclusivity
Membership does not grant exclusivity in:
- any category;
- any capability;
- any material;
- any country;
- any geographical area;
- any Builder User relationship; or
- any search result.
CraftIndex OÜ may approve and display multiple companies offering similar products or capabilities.
35. Service communications and marketing
CraftIndex OÜ may send service-related communications necessary to operate the account, including:
- registration and authentication emails;
- payment confirmations;
- profile setup instructions;
- review and revision requests;
- approval notices;
- security notices;
- failed-payment notices;
- renewal reminders;
- cancellation confirmations;
- changes to legal terms; and
- other account administration messages.
These communications are part of the service and may continue while the account or relevant legal obligation remains active.
Marketing communications, newsletters and promotions will provide a separate unsubscribe method.
Unsubscribing from marketing does not prevent CraftIndex OÜ from sending necessary service, billing, security or legal communications.
36. Privacy and cookies
CraftIndex OÜ processes personal data according to its Privacy Policy.
The Privacy Policy explains matters including:
- the categories of personal data processed;
- processing purposes;
- legal bases;
- service providers;
- international data transfers;
- retention periods;
- security;
- data-subject rights; and
- contact procedures.
The platform may use:
- essential login cookies;
- security cookies;
- payment-related technologies; and
- Google Analytics, subject to applicable consent requirements.

37. Third-party services
The service may depend on third-party providers, including providers of:
- payment processing;
- hosting;
- databases;
- file storage;
- content delivery;
- email delivery;
- analytics;
- authentication;
- security; and
- other technical infrastructure.
CraftIndex OÜ may change service providers where reasonably necessary.
CraftIndex OÜ is not responsible for a third party’s independent services, terms, acts or failures, except to the extent responsibility cannot lawfully be excluded.
The service may contain links to third-party websites. CraftIndex OÜ does not control or endorse those websites merely by providing a link.
38. Platform availability and changes
CraftIndex OÜ aims to provide a reliable service but does not guarantee uninterrupted or error-free availability.
The platform may be unavailable because of:
- maintenance;
- updates;
- security incidents;
- internet failures;
- hosting or database failures;
- payment-provider problems;
- cyberattacks;
- force majeure;
- legal requirements; or
- circumstances outside CraftIndex OÜ’s reasonable control.
CraftIndex OÜ may change:
- platform design;
- categories;
- search filters;
- profile structure;
- visibility logic;
- available features;
- technical requirements;
- upload limits; and
- service providers.
We will not intentionally remove the essential purpose of an already-paid membership without an appropriate remedy.
If CraftIndex OÜ permanently discontinues the paid membership service during a Company’s current term, the Company will receive a proportionate refund for the unused full months, unless the discontinuation affects the Company because of its breach or a legal restriction applicable specifically to that Company.
39. Suspension
CraftIndex OÜ may suspend an account, membership, profile, status or Content where:
- payment is overdue;
- account information is inaccurate;
- the Company breaches these Terms;
- Content may be unlawful or infringing;
- a complaint requires investigation;
- account security may be compromised;
- misuse or fraud is suspected;
- the Company creates legal or reputational risk;
- sanctions or legal restrictions may apply;
- a certificate or status is being misused; or
- suspension is reasonably necessary to protect CraftIndex OÜ, users or the platform.
Where appropriate, CraftIndex OÜ may provide an opportunity to correct the issue.
Immediate suspension may occur for serious legal, security, fraud, infringement or sanctions concerns.
Suspension does not extend the paid membership term.
40. Termination by CraftIndex OÜ
CraftIndex OÜ may terminate the agreement immediately where the Company:
- commits a serious or repeated breach;
- provides fraudulent or materially misleading information;
- infringes third-party rights;
- fails to make payment after the applicable grace period;
- misuses the platform or its data;
- creates a material security risk;
- is subject to an applicable legal or sanctions restriction;
- uses the service for unlawful activity;
- damages the integrity of the index; or
- fails to correct a remediable breach within a reasonable period.
No refund is due where termination results from the Company’s breach, except where required by law.
CraftIndex OÜ may also terminate a compliant Company’s membership for operational or commercial reasons by giving reasonable notice. In that case, the proportionate refund rule in Section 18.4 applies.
41. Effect of membership ending
When the paid membership period ends:
- the profile will be hidden from Builder Users;
- active membership features will stop;
- current badges and statuses may be withdrawn;
- the Company must stop presenting itself as an active YachtCraft Index member; and
- access to some or all account functions may end.
Sections intended to continue after termination remain effective, including provisions concerning:
- payment;
- intellectual property;
- Content warranties;
- liability;
- indemnity;
- confidentiality;
- dispute resolution;
- record retention; and
- governing law.
42. Data retention after membership
While an account is active, CraftIndex OÜ retains account and profile data as necessary to provide the service.
If the Company cancels, the profile and account may remain active until the end of the paid term.
After the membership ends:
- the profile is hidden from Builder Users;
- inactive profile data and uploaded Content are normally retained for 90 days;
- after 90 days, profile Content may be deleted or anonymised;
- backup copies may remain for a further period of up to 90 days while normal backup cycles are completed;
- accounting, payment, contractual and acceptance records may be retained for seven years or another legally required period; and
- unsubscribe, fraud-prevention, security and dispute records may be retained for as long as reasonably necessary.
The Company should retain its own copies of important Content.
CraftIndex OÜ is not a permanent archive or backup service for the Company.
43. Sanctions and legal compliance
The Company must comply with applicable:
- sanctions;
- export controls;
- anti-bribery laws;
- anti-money-laundering laws;
- tax laws;
- intellectual-property laws;
- data-protection laws; and
- trade restrictions.
CraftIndex OÜ may refuse, restrict, suspend or terminate service where a Company, account user, beneficial owner, payment method, transaction or activity appears connected to:
- sanctions;
- fraud;
- money laundering;
- terrorist financing;
- corruption;
- unlawful trade;
- prohibited jurisdictions; or
- unacceptable legal or compliance risk.
CraftIndex OÜ does not guarantee that the service is available in every country.
44. Disclaimer of warranties
To the maximum extent permitted by law, the service is provided on an “as available” basis.
CraftIndex OÜ does not warrant that:
- the platform will always be available;
- every error will be corrected;
- the service will meet every business requirement;
- profiles will receive a particular search position;
- Builder Users will contact the Company;
- Builder User information will always be accurate;
- user-supplied information is complete or reliable;
- third-party services will operate without interruption; or
- use of the service will produce financial or commercial benefits.
Nothing in these Terms is a warranty concerning the quality, safety, legality, solvency or performance of another user.
45. Limitation of liability
Nothing in these Terms excludes or limits liability where exclusion or limitation is prohibited by law.
In particular, nothing excludes liability for intentional misconduct, fraud or other liability that cannot lawfully be excluded.
Subject to the preceding paragraph, CraftIndex OÜ will not be liable for:
- indirect or consequential loss;
- loss of profit;
- loss of revenue;
- loss of business;
- loss of contracts;
- loss of opportunity;
- loss of anticipated savings;
- loss of goodwill;
- reputational harm;
- loss caused by another user;
- non-payment by a Builder User;
- project delay or failure;
- loss arising from inaccurate Company Content;
- loss caused by reliance on another user’s information;
- unauthorised disclosure by an authorised user;
- temporary platform unavailability; or
- third-party service failure outside CraftIndex OÜ’s reasonable control.
To the maximum extent permitted by law, CraftIndex OÜ’s total aggregate liability arising from or connected with the service, membership or these Terms will not exceed the total fees paid by the affected Company to CraftIndex OÜ during the 12 months immediately preceding the event giving rise to the claim.
The limitations apply regardless of the legal basis of the claim, including contract, non-contractual liability, negligence, misrepresentation or otherwise.
The Company must take reasonable steps to reduce avoidable loss.
46. Indemnity
To the extent permitted by law, the Company will indemnify CraftIndex OÜ against reasonable losses, liabilities, damages, costs and third-party claims resulting from:
- Content submitted by the Company;
- infringement of third-party rights;
- false or misleading profile information;
- unlawful use of the platform;
- breach of confidentiality;
- breach of applicable law;
- misuse of badges or certificates; or
- contracts or disputes between the Company and another user.
CraftIndex OÜ will provide reasonable notice of a third-party claim and allow the Company to participate in its defence where appropriate.
The Company may not settle a claim in a manner that admits wrongdoing by CraftIndex OÜ or imposes an obligation on CraftIndex OÜ without prior written consent.
47. Force majeure
Neither party is liable for delay or failure caused by circumstances beyond its reasonable control.
Such circumstances may include:
- natural disasters;
- war;
- terrorism;
- civil disorder;
- government action;
- sanctions;
- labour disruption;
- widespread internet failure;
- power failure;
- cyberattack;
- epidemic;
- failure of essential third-party infrastructure; or
- other comparable events.
The affected party must take reasonable steps to reduce the effect of the event.
Force majeure does not excuse payment obligations that became due before the event.
48. Changes to these Terms
CraftIndex OÜ may update these Terms to reflect:
- legal or regulatory changes;
- platform changes;
- new services;
- security requirements;
- changes in business operations; or
- clarification of existing provisions.
For material changes, CraftIndex OÜ will normally provide at least 30 calendar days’ advance notice.
Changes required urgently for legal, security or fraud-prevention reasons may take effect sooner.
The notice may be sent by email or displayed through the account.
CraftIndex OÜ may require renewed electronic acceptance of a materially updated version.
If the Company does not accept a material change, it may cancel future renewal before the change or next renewal takes effect. Unless otherwise stated, cancellation does not create a refund for the current paid term.
Continued use after the effective date of updated Terms constitutes acceptance where permitted by law.
49. Notices
CraftIndex OÜ may send notices to the email address associated with the Company account.
The Company must keep that address current.
A notice is considered sent when it is dispatched to the registered email address, unless CraftIndex OÜ receives a permanent delivery-failure notification.
Formal notices to CraftIndex OÜ should be sent to:
A cancellation request must be received before the relevant renewal payment is processed.
50. Assignment
The Company may not transfer its agreement, account or membership to another legal entity without prior written consent from CraftIndex OÜ.
CraftIndex OÜ may transfer the agreement to:
- an affiliated company;
- a successor;
- a purchaser of the YachtCraft Index business; or
- an entity acquiring substantially all relevant assets,
provided that the transfer does not materially reduce the Company’s contractual rights.
51. Independent parties
Nothing in these Terms creates:
- a partnership;
- joint venture;
- employment relationship;
- fiduciary relationship;
- agency relationship; or
- franchise relationship
between CraftIndex OÜ and the Company.
Neither party may make commitments on behalf of the other.
52. No waiver
Failure or delay in enforcing a right does not waive that right.
A waiver is effective only if made clearly and in writing by an authorised representative.
53. Severability
If any provision is found invalid, unlawful or unenforceable, the remaining provisions remain effective.
The invalid provision will be interpreted or replaced, to the extent permitted by law, with a valid provision that most closely reflects its intended commercial purpose.
54. Entire agreement
The documents identified in Section 4 constitute the entire agreement concerning the service and replace earlier discussions, proposals or representations concerning the same subject.
This does not exclude liability for fraudulent misrepresentation.
55. No third-party rights
Except where expressly stated, a person who is not a party to the agreement has no right to enforce these Terms.
56. Governing law
These Terms and the agreement between CraftIndex OÜ and the Company are governed by the laws of the Republic of Estonia.
Mandatory laws that cannot lawfully be excluded remain applicable.
57. Dispute resolution and jurisdiction
Before starting court proceedings, the parties should attempt in good faith to resolve the dispute through written communication.
A party should provide a reasonable description of:
- the dispute;
- the relevant facts;
- the requested resolution; and
- supporting documents.
If the dispute is not resolved within 30 calendar days after written notice, either party may begin legal proceedings.
The courts of Estonia have exclusive jurisdiction over disputes arising from or connected with these Terms or the service.
Where legally permitted, Harju County Court in Tallinn will be the court of first instance.
58. Contract language
These Terms are written in English.
CraftIndex OÜ may provide translations for convenience.
If a translation conflicts with the English version, the English version prevails, except where applicable law requires otherwise.
