1. About these Conditions
These Membership and Payment Conditions govern the purchase, activation, renewal, payment, cancellation and termination of YachtCraft Index memberships and additional paid services.
They form part of the agreement between the Customer and:
CraftIndex OÜ
Registry code: 17498820
Legal form: Osaühing, OÜ
Registered address: Pärnu mnt 139b, Kesklinna linnaosa, Tallinn 11317, Harju maakond, Estonia
Email: office@yachtcraftindex.com
CraftIndex OÜ operates YachtCraft Index.
In these Conditions, CraftIndex OÜ may be referred to as “CraftIndex,” “YachtCraft Index,” “we,” “us,” or “our.”
The company, sole trader or professional organisation purchasing the service may be referred to as the “Customer,” “Company,” “Applicant,” “Member,” “you,” or “your.”
These Conditions must be read together with the YachtCraft Index Terms and Conditions and Refund and Cancellation Policy.
If these Conditions conflict with the general Terms and Conditions regarding membership pricing, payment or renewal, these Membership and Payment Conditions prevail.
2. Business-to-business service
YachtCraft Index is strictly a business-to-business service.
Membership may be purchased only by:
- companies;
- sole traders;
- professional organisations;
- business partnerships;
- studios;
- workshops;
- manufacturers;
- professional suppliers; and
- other persons acting exclusively for business or professional purposes.
By purchasing membership, you confirm that:
- you are not acting as a consumer;
- you are at least 18 years old;
- you have authority to act for the identified business;
- the billing and company information supplied is accurate; and
- the membership is being purchased for commercial or professional purposes.
3. Nature of the membership
YachtCraft Index membership is a paid professional visibility and profile service.
Membership may include:
- access to a private Company account;
- access to the Company profile setup process;
- guided profile completion;
- storage and processing of submitted profile information;
- manual profile review;
- publication following approval;
- visibility to authorised Builder Users;
- inclusion in relevant platform searches;
- account and membership communications; and
- access to other features made available for the applicable membership level.
Membership does not purchase:
- a guaranteed project;
- a guaranteed lead;
- a guaranteed enquiry;
- a guaranteed contract;
- a particular search position;
- a particular number of profile views;
- representation by CraftIndex OÜ;
- brokerage services;
- project-management services; or
- certification of the Company’s general quality or performance.
Fees are paid for platform access, profile review, approved visibility and the associated membership services.
They are not contingent on the Customer obtaining a commercial result.
4. Membership stages
The membership process has three separate stages.
4.1 Registration
The Customer provides its initial Company and contact information and selects an available membership price and currency.
4.2 Payment and account activation
After successful payment:
- the Customer’s account is activated;
- the Customer receives access to its private profile area;
- the Customer may complete its detailed profile; and
- the profile enters the review process after submission.
Payment provides access to onboarding and review.
Payment alone does not guarantee publication.
4.3 Approval and publication
The Company becomes visible in YachtCraft Index only after:
- the required profile information has been submitted;
- requested corrections or supporting information have been provided;
- the profile has been reviewed; and
- CraftIndex OÜ has approved the profile for publication.
Official membership and publication status are connected to approval.
5. Standard membership price
The standard YachtCraft Index membership price is:
- €29 per month, billed annually at €348, or
- US$32 per month, billed annually at US$384.
The full annual amount is charged in advance.
The monthly amount is shown only as a monthly price equivalent. It does not create a right to pay month by month unless YachtCraft Index expressly introduces a monthly payment option.
The Customer purchases one full annual membership term at a time.
6. Currency selection
The Customer may be offered payment in euros or US dollars.
The applicable currency and total annual price will be displayed before payment is submitted.
The currency used for the initial subscription will normally remain the billing currency for future renewals.
CraftIndex OÜ may permit a currency change through Stripe or another available billing process.
A change of currency may require:
- cancellation and replacement of the existing subscription;
- confirmation of a new price;
- a new payment authorisation; or
- another procedure displayed to the Customer.
Currency conversion performed by the Customer’s bank, card issuer or payment provider is outside CraftIndex OÜ’s control.
The Customer is responsible for any exchange-rate difference, foreign-transaction charge or banking fee.
7. Taxes
CraftIndex OÜ is not currently registered for Estonian VAT.
No Estonian VAT is currently added to the stated membership prices.
The stated euro or US dollar amount is the total amount currently charged by CraftIndex OÜ for the applicable membership, excluding charges imposed independently by the Customer’s bank or payment provider.
If CraftIndex OÜ becomes required to charge VAT, sales tax or another applicable tax:
- the tax may be added to future payments;
- the treatment may depend on the Customer’s location and tax status;
- the Customer may be asked to provide a valid tax or VAT identification number; and
- the price or invoice may be adjusted as required by law.
The Customer remains responsible for its own:
- tax reporting;
- reverse-charge obligations;
- withholding obligations;
- business taxes; and
- professional tax advice.
8. Payment provider
Membership payments are processed exclusively through Stripe unless CraftIndex OÜ expressly provides another method.
Stripe may process:
- payment-card information;
- billing details;
- payment authentication;
- subscription status;
- recurring charges;
- failed-payment retries;
- refunds; and
- payment-related communications.
CraftIndex OÜ does not normally receive or store complete payment-card numbers.
The Customer may also be subject to Stripe’s applicable terms and privacy information.
9. Payment authorisation
By submitting a payment method, the Customer authorises CraftIndex OÜ and Stripe to:
- charge the initial annual membership fee;
- charge automatically renewable membership fees;
- charge separately authorised additional services;
- retry failed payments;
- verify the payment method;
- request payment authentication; and
- process refunds where applicable.
The Customer confirms that it is authorised to use the payment method provided.
The Customer must not use:
- stolen payment information;
- an unauthorised corporate card;
- a payment method linked to fraud;
- misleading billing details; or
- a payment method that it has no authority to use.
10. Successful payment
Payment is considered successful only when Stripe confirms that the payment has been completed.
A submitted or pending payment does not necessarily mean that payment has been completed.
Where additional customer authentication is required, the Customer must complete the authentication process.
CraftIndex OÜ may delay account activation until payment is confirmed.
11. Payment receipt and invoice
After successful payment, the Customer may receive:
- a Stripe payment receipt;
- a CraftIndex OÜ invoice;
- a subscription confirmation;
- or a combination of these records.
The Customer must provide accurate billing information.
The Customer should review the payment record promptly and notify CraftIndex OÜ of an apparent error at:
CraftIndex OÜ may correct an invoice or payment record where it contains a genuine administrative error.
12. Commencement of the membership term
The initial annual membership term begins on the date of successful initial payment unless the checkout or written agreement specifies another start date.
The profile may remain unpublished during onboarding and review.
Time spent by the Customer completing its profile does not postpone the start of the paid term unless CraftIndex OÜ expressly agrees otherwise.
However, if CraftIndex OÜ rejects an otherwise compliant Customer before publication, the applicable refund provisions apply.
13. Customer onboarding obligations
After payment, the Customer must complete its profile within a reasonable period.
The Customer is responsible for:
- supplying accurate information;
- uploading appropriate profile material;
- responding to reasonable review requests;
- correcting incomplete or misleading information;
- ensuring that it has rights to uploaded content; and
- cooperating with the approval process.
CraftIndex OÜ may send reminders where the profile is incomplete.
Failure to complete onboarding does not automatically pause or extend the annual membership term.
Failure to use the service does not create a right to a refund.
14. Profile approval
CraftIndex OÜ may:
- approve the profile;
- request revisions;
- request evidence supporting claims;
- change categorisation;
- remove unsuitable content;
- reject the profile; or
- suspend the review where information is incomplete.
CraftIndex OÜ may consider:
- relevance to yacht projects;
- profile completeness;
- evidence of work;
- quality of submitted content;
- professional credibility;
- accuracy;
- eligibility;
- legal compliance;
- security risks; and
- the value of the profile to authorised Builder Users.
Payment does not prevent CraftIndex OÜ from rejecting an unsuitable or non-compliant application.
15. Refund following rejection
If CraftIndex OÜ determines that the Company is not eligible and the profile has never been published, CraftIndex OÜ will refund the full initial membership fee.
Any additional paid service that has not been activated or delivered will also be refunded.
A rejection refund is not required where the review cannot be completed because the Customer:
- fails to submit the required information;
- abandons onboarding;
- does not respond to reasonable requests;
- submits false or misleading information;
- uploads unlawful or unauthorised content;
- breaches the Terms and Conditions;
- creates a sanctions, fraud or security risk; or
- otherwise prevents completion of the review.
16. Initial seven-day refund period
The Customer may request a full refund within seven calendar days after the initial payment if:
- the profile has not been published;
- no paid additional service has been delivered;
- no paid profile-optimisation or similar work has been completed; and
- the Customer is not being rejected or suspended for breach.
The request must be sent to:
This is a voluntary business-to-business refund policy.
It is not a consumer cancellation or withdrawal right.
17. Automatic annual renewal
Unless cancelled before renewal, membership renews automatically for successive annual terms.
The renewal payment will be charged to the payment method held for the subscription.
The renewal date will normally be the anniversary of the initial membership start date, subject to Stripe billing rules and any authorised subscription change.
The renewed membership term begins when the annual renewal payment becomes due and is successfully collected, subject to the failed-payment provisions below.
18. Renewal reminder
CraftIndex OÜ will send a renewal reminder at least 30 calendar days before the scheduled renewal date.
The reminder may contain:
- the Customer’s renewal date;
- the applicable annual price;
- the applicable currency;
- information about any price change;
- payment-method update instructions; and
- cancellation instructions.
The reminder will be sent to the email address associated with the account.
The Customer must ensure that:
- the registered email address is accurate;
- CraftIndex OÜ emails are not blocked;
- relevant personnel monitor the email address; and
- billing contacts are updated when necessary.
A reminder that has been correctly sent is not invalid merely because the Customer does not open or read it.
19. Cancellation before renewal
The Customer may cancel automatic renewal at any time before the renewal payment is processed.
Cancellation may be completed:
- through an available Stripe billing or customer portal; or
- by emailing office@yachtcraftindex.com.
An email request must be received before the renewal payment is processed.
The cancellation request should include sufficient information to identify:
- the Company;
- the account email address; and
- the relevant subscription.
CraftIndex OÜ may request reasonable confirmation where the authority of the person making the request is unclear.
20. Effect of cancellation
Cancellation prevents the next annual renewal.
It does not immediately end the current paid membership term.
After cancellation:
- the membership remains active until the end of the paid term;
- the Company profile may remain visible until that date;
- existing membership functions remain available;
- paid status continues until its applicable expiry date; and
- no further membership renewal will be charged.
The Customer may ask CraftIndex OÜ to hide its profile earlier, but early profile removal does not create a prorated refund.
21. No prorated refund following ordinary cancellation
Annual membership fees are not divided into refundable monthly instalments.
The monthly price displayed is a monthly equivalent of the annual price.
Where the Customer cancels during an annual term:
- the current annual term remains paid;
- the membership continues until the expiry date;
- no refund is provided for unused days or months; and
- the cancellation applies to future renewal only.
22. Renewal after cancellation
If the Customer cancels and later decides to continue before the current term expires, it may be able to reactivate automatic renewal through Stripe or by contacting CraftIndex OÜ.
CraftIndex OÜ does not guarantee that:
- the previous price will remain available;
- a discontinued service will remain available;
- an expired promotional price can be restored; or
- the previous payment method can still be used.
23. Failed renewal payment
If an annual renewal payment fails:
- Stripe or CraftIndex OÜ may notify the Customer;
- the Customer may be asked to update its payment method;
- Stripe may retry the payment; and
- a seven-calendar-day grace period will begin.
During the grace period, CraftIndex OÜ may keep the membership and profile active.
CraftIndex OÜ may nevertheless restrict access sooner where:
- fraud is suspected;
- the payment method is unauthorised;
- the account creates a legal risk; or
- another serious breach exists.
24. Suspension after the grace period
If the renewal payment remains unpaid after seven calendar days, CraftIndex OÜ may:
- suspend the membership;
- hide the Company profile from Builder Users;
- suspend badges or paid status;
- remove Spotlight or enhanced visibility;
- restrict access to account functions; and
- stop providing membership services.
The Customer’s account data may be retained during the suspension.
Suspension does not create a right to compensation for lost visibility, contacts or opportunities.
25. Final payment period
After suspension, the Customer will have a further 30 calendar days to settle the outstanding renewal payment.
CraftIndex OÜ may continue sending payment reminders during this period.
If payment is successfully completed:
- the subscription may return to active status;
- the profile may be republished;
- applicable paid status may be restored; and
- access may be reinstated.
Restoration may require a short administrative or technical processing period.
26. Termination for non-payment
If the outstanding renewal payment remains unpaid after the additional 30-day period, CraftIndex OÜ may:
- terminate the subscription;
- close or deactivate the account;
- remove the profile;
- withdraw active status and badges; and
- begin the post-termination data-retention process.
Termination for non-payment does not cancel amounts already lawfully due.
CraftIndex OÜ may require payment of outstanding amounts before accepting a later re-registration.
27. Payment-method updates
The Customer is responsible for maintaining a valid payment method.
The Customer must update the payment method where:
- a card expires;
- the card is cancelled;
- the billing organisation changes;
- the account is closed;
- the issuer requests authentication; or
- the payment method is otherwise no longer valid.
Updating a payment method does not itself cancel the subscription.
Removing a payment card without cancelling the subscription does not constitute a valid cancellation.
28. Price changes
CraftIndex OÜ may change the price of membership.
A price change:
- does not change the price of the current paid term;
- applies only to a future renewal;
- will be communicated at least 30 calendar days before it is charged; and
- will not be charged if the Customer cancels before renewal.
The price-change notice may state:
- the existing price;
- the new price;
- the applicable currency;
- the effective renewal date; and
- cancellation instructions.
If the Customer continues the subscription and the renewal payment is processed, the Customer accepts the new price for the renewed term.
29. Promotional and introductory prices
CraftIndex OÜ may offer:
- introductory pricing;
- limited-time discounts;
- promotional codes;
- early-member pricing;
- category-based offers;
- negotiated enterprise pricing; or
- other special prices.
Unless expressly stated otherwise:
- promotional pricing applies only for the specified period;
- it may end at renewal;
- it cannot be exchanged for cash;
- it cannot be combined with another offer;
- it cannot be transferred to another Company; and
- it does not create a right to receive the same price in future.
The renewal price will be displayed or communicated before renewal where it differs from the current price.
30. Additional paid services
CraftIndex OÜ may offer optional paid services, including:
- Verified Company status;
- Spotlight Visibility;
- enhanced visibility;
- profile optimisation;
- profile-writing services;
- priority review;
- category-specific visibility;
- certificates;
- analytics;
- insights; and
- other professional services.
The applicable checkout or order description will state:
- the price;
- the currency;
- the duration;
- whether the service is one-time or recurring;
- whether it depends on an active membership;
- what is included; and
- any service-specific conditions.
31. Membership dependency of additional services
An additional service may require an active standard membership.
Unless otherwise stated:
- additional profile visibility cannot remain active without an active Company profile;
- Verified Company status cannot remain active after the related membership ends;
- Spotlight Visibility cannot operate while the profile is suspended or hidden; and
- termination of the membership may also terminate dependent services.
The Customer is responsible for reviewing these dependencies before purchase.
32. Separate renewal of additional services
An additional service will renew automatically only if this is clearly stated before purchase.
Where an additional service automatically renews:
- its renewal period will be displayed;
- Stripe may charge it automatically;
- advance notice may be provided together with the membership reminder or separately;
- the Customer may cancel future renewal before the charge is processed; and
- cancellation normally takes effect at the end of its paid period.
Where an additional service is described as one-time, it will not automatically renew.
33. No guarantee from paid visibility services
Enhanced Visibility, Spotlight Visibility, Verified Company status and similar paid features may affect how the profile is displayed or identified.
They do not guarantee:
- first position in every search;
- permanent search priority;
- a minimum number of views;
- enquiries;
- contracts;
- revenue;
- approval by a Builder User; or
- exclusivity.
Search and display results may depend on relevance, filters, Builder User requirements, categories and platform logic.
34. Verified Company status
Where offered, Verified Company status means only that the Company has met the verification criteria expressly described by CraftIndex OÜ at the relevant time.
Unless expressly stated otherwise, it does not mean that CraftIndex OÜ has:
- audited the Company’s finances;
- inspected every product;
- verified every certificate;
- confirmed regulatory compliance;
- guaranteed quality;
- guaranteed solvency;
- guaranteed delivery; or
- accepted liability for the Company’s work.
Verified status may have an issue date and an expiry date.
It may be suspended or withdrawn where the underlying information becomes inaccurate or the applicable fee is unpaid.
35. Refunds for additional services
An additional service will be refunded where:
- CraftIndex OÜ rejects the Company before publication and the service has not been delivered;
- the same service was charged more than once;
- an incorrect amount was charged;
- the service cannot be provided by CraftIndex OÜ;
- a renewal was charged after valid and timely cancellation; or
- a refund is required by applicable law.
No refund is normally due where:
- the additional service has been activated or delivered;
- profile-optimisation work has begun or been completed;
- the Customer does not obtain commercial results;
- the Customer voluntarily stops using the service;
- the Company is suspended for breach;
- the profile is removed at the Customer’s request;
- the underlying membership ends because of non-payment; or
- the Company supplied inaccurate information.
36. Duplicate and incorrect charges
The Customer must notify CraftIndex OÜ promptly if it believes that:
- a payment was duplicated;
- an incorrect amount was charged;
- the wrong currency was used;
- a cancelled subscription renewed;
- an unauthorised additional service was charged; or
- another payment error occurred.
CraftIndex OÜ will review the Stripe and account records.
Where an error is confirmed, CraftIndex OÜ will correct the error or issue the appropriate refund.
37. Refund method
Approved refunds will normally:
- be processed through Stripe;
- be returned to the original payment method;
- be issued in the currency originally paid; and
- be limited to the amount actually received by CraftIndex OÜ.
CraftIndex OÜ does not control:
- card-network processing times;
- bank posting times;
- payment-provider delays;
- exchange-rate movements; or
- third-party fees.
A refund may therefore appear later than the date on which CraftIndex OÜ authorises it.
38. Chargebacks and payment disputes
The Customer should contact CraftIndex OÜ before initiating a chargeback where it believes a payment was incorrect.
CraftIndex OÜ may provide Stripe, the card issuer or another payment provider with relevant evidence, including:
- registration information;
- acceptance records;
- payment authorisation;
- invoice records;
- account activity;
- profile publication status;
- renewal notices;
- cancellation records;
- service-delivery records; and
- communications.
A chargeback does not automatically terminate the subscription.
Where a chargeback is successful or a payment is reversed, CraftIndex OÜ may:
- suspend the account;
- hide the profile;
- withdraw paid status;
- terminate the subscription; and
- recover amounts lawfully due.
Fraudulent or abusive chargebacks may result in permanent refusal of service.
39. Account suspension for payment risk
CraftIndex OÜ may suspend payment or membership functions where:
- fraud is suspected;
- the payment method appears unauthorised;
- Stripe blocks or reverses the payment;
- the Customer provides inconsistent billing information;
- a chargeback is initiated;
- sanctions or legal restrictions may apply; or
- continued service creates unreasonable financial or compliance risk.
CraftIndex OÜ may request supporting information before restoring access.
40. Removal for Customer breach
Where the account or profile is suspended or terminated because the Customer:
- breached the Terms;
- submitted false information;
- infringed third-party rights;
- misused the platform;
- failed to pay;
- created a security risk;
- breached applicable law; or
- misused YachtCraft Index status,
no refund is due for the remaining membership term unless required by law.
41. Removal for CraftIndex operational reasons
CraftIndex OÜ may permanently remove a compliant Customer for its own operational or commercial reasons.
Where:
- the Customer has not breached the agreement;
- the removal is not required because of the Customer’s legal or sanctions status; and
- CraftIndex OÜ ends the membership before the paid term expires,
CraftIndex OÜ will provide a proportionate refund for the unused full months of the annual term.
No refund is calculated for partial months.
42. Platform discontinuation
If CraftIndex OÜ permanently discontinues the YachtCraft Index paid membership service during an active paid term, affected Customers will receive a proportionate refund for unused full months.
This does not apply where access ends because:
- the Customer breached the agreement;
- payment failed;
- a legal restriction applies specifically to the Customer;
- sanctions apply;
- the Customer requested early removal; or
- the service remains available but a non-essential feature is changed.
43. Effect of membership expiry
At the end of the paid membership term:
- the profile is hidden from Builder Users;
- active visibility ends;
- badges or paid status may expire;
- account access may be restricted;
- the Company must stop presenting itself as an active member; and
- the data-retention period begins.
If the Customer later purchases a new membership, CraftIndex OÜ may permit reactivation subject to:
- current pricing;
- current Terms;
- updated information;
- renewed approval; and
- availability of retained profile data.
44. Data retention after membership
While the membership is active, account and profile data are retained as necessary to provide the service.
After membership ends:
- the profile is hidden immediately;
- inactive profile information and uploaded content are normally retained for 90 days;
- after 90 days, profile content may be deleted or anonymised;
- backup copies may remain for a further maximum of 90 days;
- accounting, payment and contractual records may be retained for seven years or another legally required period; and
- records needed for disputes, fraud prevention, security or legal compliance may be retained for as long as reasonably necessary.
45. Customer responsibility for records
The Customer should keep its own copies of:
- invoices;
- payment receipts;
- uploaded content;
- profile text;
- certificates;
- cancellation confirmations;
- renewal notices; and
- important communications.
YachtCraft Index is not a permanent document-storage or backup service for the Customer.
46. Communications
Membership and payment communications may be sent by email.
These may include:
- payment confirmations;
- invoices;
- renewal reminders;
- failed-payment notices;
- requests to update payment details;
- suspension notices;
- cancellation confirmations;
- refund confirmations;
- price-change notices; and
- termination notices.
These communications are service communications and are not dependent on marketing consent.
The Customer must keep its email address current.
47. Amendments to these Conditions
CraftIndex OÜ may amend these Conditions to reflect:
- changes in prices;
- payment-provider changes;
- new paid services;
- legal or tax requirements;
- security requirements;
- operational changes; or
- clarification of existing rules.
A material change affecting an active subscription will normally be communicated at least 30 calendar days before it applies.
A price increase will apply only to a future renewal and will be communicated before it is charged.
CraftIndex OÜ may require acceptance of an updated version before the Customer renews or purchases another service.
48. Governing law
These Membership and Payment Conditions are governed by the laws of the Republic of Estonia.
Mandatory provisions that cannot lawfully be excluded remain applicable.
49. Disputes
The Customer should first notify CraftIndex OÜ of a payment or membership dispute by emailing:
The notice should describe:
- the Company;
- the relevant payment;
- the date and amount;
- the reason for the dispute;
- the requested solution; and
- any supporting evidence.
The parties should attempt to resolve the matter through written communication before beginning legal proceedings.
Unresolved disputes are subject to the jurisdiction provisions contained in the YachtCraft Index Terms and Conditions.
