1. About this Disclaimer

This Platform Disclaimer and Limitation of Liability explains the role of YachtCraft Index and the limits of CraftIndex OÜ’s responsibility in connection with the platform, Company profiles, Builder Users and relationships between users.

It applies to:

website visitors;
applicants;
Member Companies;
Builder Users;
account holders;
persons reviewing Company information;
persons communicating through information obtained from the platform; and
other professional users of YachtCraft Index.

This Disclaimer forms part of the YachtCraft Index legal framework and must be read together with:

the Terms and Conditions;
the Membership and Payment Conditions;
the Refund and Cancellation Policy;
the Privacy Policy;
the Cookie Policy;
the Builder User Terms of Use; and
any service-specific terms accepted by the relevant user.

If this Disclaimer conflicts with a separately accepted contractual provision, the more specific contractual provision will apply.

In this Disclaimer, CraftIndex OÜ may be referred to as “CraftIndex,” “YachtCraft Index,” “we,” “us,” or “our.”

3. Business-to-business platform

YachtCraft Index is strictly a business-to-business professional platform.

It is designed for:

companies;
manufacturers;
workshops;
suppliers;
yacht builders;
shipyards;
refit yards;
designers;
naval architects;
project-management teams;
owner representatives;
consultants; and
other persons acting for professional or commercial purposes.

The platform is not intended for consumer or private household use.

4. Nature of YachtCraft Index

YachtCraft Index is a private capability-based visibility and sourcing platform.

Its purpose is to help authorised Builder Users identify companies whose stated products, skills, materials, systems or production capabilities may be relevant to yacht projects.

YachtCraft Index provides:

structured Company profiles;
capability-based categorisation;
search and filtering functions;
profile visibility;
professional contact information;
optional status and visibility features; and
related platform services.

YachtCraft Index facilitates discovery and professional contact only.

5. YachtCraft Index is not a marketplace

YachtCraft Index does not operate as a transactional marketplace.

CraftIndex OÜ does not:

receive project orders on behalf of users;
issue quotations on behalf of users;
determine project prices;
collect project payments;
deduct commissions from projects;
supervise project contracts;
allocate work;
control project delivery;
decide whether parties must work together; or
require users to conclude a transaction.

All enquiries, negotiations, quotations, agreements, orders and payments take place directly between the relevant parties.

6. No brokerage or agency relationship

CraftIndex OÜ is not:

a broker;
commercial agent;
procurement agent;
sales representative;
employment agency;
subcontracting agent;
project manager;
payment intermediary;
insurer;
fiduciary;
partner; or
representative of any Member Company or Builder User.

No user is authorised to make commitments, warranties or representations on behalf of CraftIndex OÜ.

Listing a Company or granting Builder User access does not create an agency, partnership, joint venture, employment or fiduciary relationship.

7. CraftIndex OÜ is not a party to user agreements

CraftIndex OÜ is not a party to any agreement made between:

a Member Company and a Builder User;
two or more users;
a Company and a shipyard;
a Company and an owner representative;
a supplier and a project team; or
any other persons introduced through or identified using YachtCraft Index.

Any contract concluded between users is independent of CraftIndex OÜ.

The parties to that contract are solely responsible for its interpretation, performance and enforcement.

8. No commission on project work

Membership fees and additional-service fees are paid for platform access, profile review, profile visibility, status features and related services.

They are not commissions on project work.

CraftIndex OÜ does not ordinarily:

receive a percentage of project value;
collect success fees;
deduct amounts from user transactions; or
participate in the financial outcome of a project.

9. No guarantee of enquiries or projects

YachtCraft Index provides visibility, not guaranteed commercial results.

CraftIndex OÜ does not guarantee:

profile views;
enquiries;
leads;
requests for quotation;
invitations to tender;
meetings;
yacht projects;
contracts;
sales;
revenue;
profit;
repeat business;
geographic exposure;
search frequency; or
contact from any particular Builder User.

A Company may receive no enquiries during a membership period.

The absence of enquiries or projects does not mean that the platform service was not provided.

10. Search and profile placement

Search results may depend on:

the Builder User’s search terms;
selected filters;
category;
capability tags;
materials;
location;
delivery area;
profile completeness;
relevance;
paid visibility features;
platform logic; and
other technical or editorial factors.

CraftIndex OÜ does not guarantee:

a permanent search position;
first position;
equal visibility in every search;
inclusion in every potentially relevant result;
a minimum number of appearances; or
exclusivity in a category.

Search, matching and profile-presentation methods may change as the platform develops.

11. Company-supplied information

Company profiles are based primarily on information and content supplied by the relevant Company.

This may include claims about:

products;
capabilities;
materials;
techniques;
production capacity;
project scope;
delivery areas;
experience;
facilities;
employees;
certifications;
standards;
insurance;
completed work;
yacht experience; and
professional qualifications.

Each Company remains responsible for the accuracy, completeness, legality and currency of its information.

12. No universal verification of profile claims

CraftIndex OÜ may review profiles for relevance, completeness and general credibility.

However, unless expressly stated for a particular service, CraftIndex OÜ does not independently verify every:

factual statement;
photograph;
video;
certificate;
licence;
insurance policy;
financial claim;
technical capability;
project reference;
production capacity;
quality claim; or
legal-compliance statement.

Profile review does not transfer responsibility for Company claims to CraftIndex OÜ.

13. No endorsement or recommendation

Inclusion in YachtCraft Index does not, by itself, constitute:

endorsement;
recommendation;
technical approval;
legal approval;
financial approval;
quality assurance;
guarantee;
ranking of general merit; or
confirmation that the Company is suitable for a particular project.

A Company’s appearance in a search result means only that its profile may be relevant to the search criteria or platform logic.

Users must make their own evaluation.

14. Official Member status

Official Member status indicates that the Company profile has been reviewed and approved for inclusion in YachtCraft Index.

It does not mean that CraftIndex OÜ has guaranteed:

the Company’s work;
financial standing;
solvency;
future conduct;
legal compliance;
technical compliance;
delivery performance;
product safety; or
suitability for a particular contract.

15. Verified Company status

Where offered, Verified Company status confirms only that the Company has met the specific YachtCraft Index verification criteria described for that status.

Unless expressly stated otherwise, Verified Company status does not mean that CraftIndex OÜ has:

carried out a comprehensive audit;
inspected all facilities;
tested products;
verified every certificate;
confirmed financial solvency;
guaranteed regulatory compliance;
guaranteed delivery;
guaranteed workmanship; or
assumed responsibility for the Company.

Verification criteria may be limited in scope and may change over time.

16. Editorial awards and recognition

Certificates, milestones, profile recognitions and editorial awards may reflect:

approved membership;
active status;
profile quality;
presentation;
longevity;
editorial selection; or
another stated criterion.

Such recognition does not constitute a general warranty or professional certification.

Editorial recognition does not guarantee that the recipient is suitable for every project.

Awards and recognition may be withdrawn if:

they were based on inaccurate information;
the underlying status expires;
the Company breaches platform rules;
continued display would be misleading; or
legal or reputational concerns arise.

17. Builder User approval

CraftIndex OÜ may review Builder User applications and restrict access to approved professional users.

However, approval does not guarantee:

the identity of every user;
the user’s authority;
the accuracy of their organisation details;
the existence of a stated project;
creditworthiness;
ability to pay;
professional competence;
intentions;
future conduct; or
compliance with the Builder User Terms.

Companies must independently assess every enquiry and potential client.

18. Independent due diligence

All users are responsible for conducting their own due diligence before entering into a commercial relationship.

Due diligence may include checking:

legal identity;
company registration;
authority to contract;
ownership;
sanctions status;
financial standing;
creditworthiness;
insurance;
licences;
certifications;
technical qualifications;
references;
facilities;
production capacity;
quality systems;
product compliance;
delivery capability;
export requirements;
tax status; and
other project-specific requirements.

YachtCraft Index must not be used as a substitute for appropriate due diligence.

19. Confidential information

Users should not disclose confidential, commercially sensitive or security-sensitive information merely because contact was established through YachtCraft Index.

Before sharing confidential information, users should consider using an appropriate confidentiality or non-disclosure agreement.

CraftIndex OÜ is not responsible for a user’s decision to disclose:

project plans;
yacht-owner information;
vessel locations;
design documents;
trade secrets;
pricing;
specifications;
personal data;
security information; or
other confidential material

to another user.

20. Direct negotiations

Users are solely responsible for all negotiations concerning:

project scope;
specifications;
drawings;
materials;
standards;
classification requirements;
price;
currency;
taxes;
payment schedule;
deposits;
delivery;
transport;
installation;
acceptance testing;
warranties;
defects;
intellectual property;
confidentiality;
insurance;
limitation of liability;
governing law; and
dispute resolution.

CraftIndex OÜ does not review or approve user contracts unless it separately agrees in writing to provide a specific service.

21. No responsibility for project outcomes

CraftIndex OÜ is not responsible for:

project cancellation;
unsuccessful negotiation;
non-payment;
late payment;
insolvency;
delay;
delivery failure;
transport damage;
incorrect specifications;
defective products;
defective workmanship;
installation problems;
design errors;
cost overruns;
regulatory problems;
classification issues;
warranty disputes;
intellectual-property disputes;
confidentiality breaches;
personal injury;
property damage; or
any other outcome arising from work performed or agreed between users.

Responsibility for a project remains with the parties involved in that project.

22. No technical or professional advice

Information available through YachtCraft Index is provided for professional discovery and general informational purposes.

It is not:

engineering advice;
naval-architecture advice;
classification advice;
legal advice;
tax advice;
accounting advice;
financial advice;
insurance advice;
safety advice;
regulatory advice; or
a substitute for professional project assessment.

Users should obtain qualified advice appropriate to the relevant project and jurisdiction.

23. Certifications and standards

References to certificates, standards, class experience or regulatory compliance are supplied by users unless expressly stated otherwise.

CraftIndex OÜ does not guarantee that:

a certificate is genuine;
a certificate is current;
a certificate covers the proposed work;
a standard has been applied correctly;
a class society will accept the work;
a product is legally marketable;
documentation is sufficient; or
a Company satisfies project-specific requirements.

The person selecting a Company must verify all relevant certifications and standards independently.

24. Photographs, videos and portfolio materials

Photographs, videos and project descriptions may have been supplied by the listed Company.

CraftIndex OÜ does not guarantee that:

every image shows work completed solely by the Company;
every image is recent;
every project was completed under the same conditions;
the Company owns every visible design;
the result can be reproduced;
the content is free from third-party rights; or
visual material accurately demonstrates technical performance.

Companies are contractually required to submit lawful and accurate content, but users must still carry out their own evaluation.

25. Translations, summaries and categorisation

YachtCraft Index may translate, summarise, format, classify or tag Company information.

These processes may involve:

editorial work;
automated tools;
artificial intelligence;
search logic; or
technical formatting.

Although reasonable care may be taken, translations, summaries and categories may contain errors or may not capture every technical detail.

Users should confirm important information directly with the relevant Company.

26. AI-assisted functions

YachtCraft Index may use AI-assisted tools for limited operational purposes, such as:

translation;
grammar improvement;
profile summarisation;
categorisation;
search tagging;
duplicate detection; and
content review.

AI-assisted output may be incomplete or inaccurate.

It must not be treated as a substitute for professional, technical or legal verification.

Material project decisions should not be based solely on automated output.

27. External websites

Company profiles may contain links to websites operated by third parties.

CraftIndex OÜ does not control those websites and is not responsible for:

their content;
availability;
security;
products;
services;
claims;
privacy practices;
cookies;
malware; or
transactions.

Providing a link does not constitute endorsement.

Users access external websites at their own risk.

28. Third-party services

YachtCraft Index relies on third-party services for functions such as:

hosting;
databases;
file storage;
authentication;
email delivery;
payment processing;
content delivery;
analytics;
security; and
internet connectivity.

These services may include Vercel, Supabase, Stripe, Cloudflare, Google, Brevo and other providers.

CraftIndex OÜ is not responsible for independent acts, failures or service interruptions of third-party providers beyond the responsibility that applicable law places on CraftIndex OÜ.

29. Platform availability

CraftIndex OÜ seeks to maintain a reliable platform but does not guarantee uninterrupted, continuous or error-free availability.

The platform may be unavailable because of:

maintenance;
upgrades;
software errors;
hardware failure;
hosting failure;
database failure;
internet disruption;
payment-provider failure;
cyberattack;
malicious traffic;
security response;
legal requirements;
provider changes;
force majeure; or
other circumstances outside reasonable control.

Temporary unavailability does not automatically create a right to compensation or refund.

30. Platform changes

CraftIndex OÜ may change:

website design;
platform structure;
search logic;
categories;
capability tags;
profile layouts;
filters;
features;
account functions;
upload limits;
technical requirements;
service providers; and
availability of non-essential functions.

CraftIndex OÜ will not intentionally remove the essential purpose of an already-paid membership without applying the contractual remedies stated in the Membership and Payment Conditions.

31. Cybersecurity

CraftIndex OÜ uses reasonable security measures, but no internet-based platform can guarantee absolute security.

CraftIndex OÜ does not guarantee that:

unauthorised access will never occur;
malicious software will never be introduced;
every vulnerability will be discovered immediately;
screenshots or copies will never be made;
every user will comply with access restrictions; or
every security incident can be prevented.

Users must:

protect their login credentials;
use secure devices;
notify CraftIndex OÜ of suspected unauthorised access;
avoid uploading unnecessary confidential information; and
maintain their own backups.

32. User-controlled systems

CraftIndex OÜ is not responsible for loss caused by:

a user’s insecure device;
compromised email;
weak passwords;
shared login credentials;
failure to install security updates;
unauthorised account sharing;
incorrect user configuration;
loss of access to the registered email address; or
failure to notify CraftIndex OÜ of suspicious activity.

33. User content and unlawful material

CraftIndex OÜ may review, restrict or remove content that appears:

unlawful;
infringing;
misleading;
confidential;
malicious;
irrelevant;
unsafe;
deceptive; or
inconsistent with platform standards.

However, CraftIndex OÜ is not required to guarantee that every unlawful or inaccurate item will be identified before it is viewed.

Users may report concerns to:

34. No obligation to monitor user relationships

CraftIndex OÜ is not required to:

monitor negotiations;
review quotations;
inspect user contracts;
supervise communications;
follow project progress;
verify payment;
mediate disputes;
investigate every disagreement; or
enforce a user’s contract against another user.

CraftIndex OÜ may choose to review a complaint or restrict an account, but doing so does not make CraftIndex OÜ responsible for the underlying relationship.

35. User disputes

Disputes between users must be resolved directly between those users.

CraftIndex OÜ may, at its discretion:

receive a complaint;
request information;
preserve relevant platform records;
restrict an account;
remove content;
suspend access; or
cooperate with lawful authorities.

CraftIndex OÜ is not obliged to act as an arbitrator, mediator or decision-maker in a commercial dispute.

36. Assumption of business risk

Users acknowledge that commercial sourcing and project contracting involve risks.

These may include:

inaccurate information;
misunderstandings;
unsuccessful negotiations;
currency risk;
credit risk;
delivery risk;
technical risk;
legal risk;
tax risk;
regulatory risk;
confidentiality risk;
intellectual-property risk; and
performance risk.

Each user accepts responsibility for evaluating and managing the risks of its own commercial decisions.

37. Disclaimer of warranties

To the maximum extent permitted by law, YachtCraft Index is provided on an “as available” basis.

CraftIndex OÜ does not give an express or implied warranty that:

the platform will be uninterrupted;
the platform will be error-free;
all information will be complete;
all users will act lawfully;
all users will perform their obligations;
search results will meet a user’s needs;
Company profiles will be suitable for a particular project;
every security risk will be prevented;
every technical error will be corrected immediately; or
platform use will result in a commercial benefit.

Nothing in this Disclaimer creates a warranty not expressly stated in a written agreement signed by CraftIndex OÜ.

38. Excluded categories of loss

Subject to the mandatory-law exceptions in this Disclaimer, CraftIndex OÜ will not be liable for:

indirect loss;
consequential loss;
loss of profit;
loss of revenue;
loss of sales;
loss of contracts;
loss of opportunity;
loss of anticipated savings;
loss of business;
business interruption;
loss of goodwill;
reputational loss;
loss caused by another user;
loss arising from unsuccessful negotiations;
loss arising from a project contract;
loss caused by reliance on user-supplied information;
loss arising from unauthorised disclosure by another user;
loss arising from temporary platform unavailability; or
loss arising from a third-party provider outside CraftIndex OÜ’s reasonable control.

This exclusion applies whether the claimed loss is direct or indirect where applicable law permits its exclusion.

39. Liability cap

To the maximum extent permitted by law, CraftIndex OÜ’s total aggregate liability arising from or connected with:

YachtCraft Index;
membership;
Builder User access;
a paid additional service;
a Company profile;
this Disclaimer; or
the related contractual relationship

will not exceed the total fees paid by the affected contractual customer to CraftIndex OÜ during the 12 months immediately preceding the event giving rise to the claim.

For a Builder User who has paid no fees, CraftIndex OÜ’s total aggregate liability will not exceed €100, unless a higher amount is required by mandatory law.

The liability cap applies to all connected claims in aggregate, not separately to each claim.

40. Claims involving free access

Builder User access may be provided free of charge.

Free access does not create a guarantee concerning:

platform availability;
Company accuracy;
sourcing results;
project outcomes; or
continued access.

CraftIndex OÜ may suspend, restrict or discontinue free access in accordance with the Builder User Terms of Use.

41. Mandatory exceptions

Nothing in this Disclaimer excludes or limits liability to the extent that exclusion or limitation is prohibited by applicable law.

In particular, nothing excludes or limits liability for:

intentional misconduct;
fraud;
fraudulent misrepresentation; or
another category of liability that cannot lawfully be excluded or limited.

Where a limitation is legally ineffective only in a particular circumstance, the remaining limitations continue to apply.

42. Duty to reduce loss

A person claiming loss must take reasonable steps to:

avoid preventable loss;
reduce continuing loss;
preserve relevant evidence;
notify CraftIndex OÜ within a reasonable time;
protect its account;
correct known errors; and
pursue remedies available against the person directly responsible.

CraftIndex OÜ is not responsible for loss that could reasonably have been avoided or reduced.

43. Time and notice of claims

A user should notify CraftIndex OÜ of a potential claim without unreasonable delay after becoming aware of the relevant facts.

The notice should include:

the user or Company;
the relevant account;
the event;
the date;
the claimed loss;
supporting evidence; and
the requested resolution.

Failure to provide timely notice may affect the extent to which CraftIndex OÜ can investigate or reduce the loss.

Any statutory limitation period that cannot lawfully be shortened remains applicable.

44. Indemnity by users

To the extent permitted by law and the applicable contractual terms, a user may be required to indemnify CraftIndex OÜ for reasonable losses and third-party claims caused by:

unlawful user content;
infringement of third-party rights;
false profile information;
misuse of the platform;
breach of confidentiality;
unauthorised marketing;
misuse of Company information;
scraping;
breach of applicable law;
misuse of YachtCraft Index branding; or
a project agreement to which CraftIndex OÜ is not a party.

The detailed indemnity provisions are contained in the applicable Terms and Conditions.

45. Force majeure

CraftIndex OÜ is not liable for delay or failure caused by circumstances beyond its reasonable control.

These may include:

natural disaster;
war;
terrorism;
civil disorder;
government action;
sanctions;
epidemic;
labour disruption;
widespread internet failure;
power failure;
cyberattack;
failure of essential infrastructure;
failure of a major service provider; or
another comparable event.

CraftIndex OÜ will take reasonable steps to reduce the effect of the event where practicable.

46. No reliance on informal statements

Only an authorised written contractual commitment made by CraftIndex OÜ may modify the applicable legal agreement.

Users should not rely on:

informal statements;
general marketing language;
social-media content;
example profiles;
projected results;
industry commentary;
testimonials;
anticipated platform growth; or
statements made by another user

as a guarantee of future results.

Testimonials describe individual experiences and do not represent guaranteed outcomes.

47. Testimonials and examples

Examples, testimonials and illustrative scenarios may be used to explain how YachtCraft Index is intended to work.

They do not guarantee that another Company will:

receive similar exposure;
receive similar enquiries;
obtain a project;
obtain similar revenue; or
experience the same result.

Example tasks, projects or search scenarios may be hypothetical unless expressly identified as real.

48. Applicable contractual documents

This Disclaimer does not replace the detailed contractual provisions accepted by the user.

The following documents may contain additional or more specific rules:

Membership and Payment Conditions;
Refund and Cancellation Policy;
Builder User Terms of Use;
Privacy Policy;
Cookie Policy; and
service-specific conditions.

Users should review the complete legal framework before registering, paying or accessing the private index.

49. Changes to this Disclaimer

CraftIndex OÜ may update this Disclaimer to reflect:

changes in law;
platform changes;
new features;
new services;
changes in risk;
security requirements;
changes in business operations; or
clarification of existing provisions.

The updated version will display a new version number and effective date.

Material contractual changes will be communicated as described in the applicable Terms and Conditions.

50. Governing law

This Disclaimer is governed by the laws of the Republic of Estonia.

Mandatory legal provisions that cannot lawfully be excluded remain applicable.

51. Jurisdiction

Disputes relating to this Disclaimer are subject to the dispute-resolution and jurisdiction provisions in the applicable YachtCraft Index Terms and Conditions or Builder User Terms of Use.

Where legally permitted, the courts of Estonia have exclusive jurisdiction and Harju County Court in Tallinn will be the court of first instance.

52. Language

This Disclaimer is written in English.

Translations may be provided for convenience.

If a translation conflicts with the English version, the English version prevails unless applicable law requires otherwise.
